‍About SQUAKE
‍SQUAKE (legal name: SQUAKE.earth GmbH) provides the SQUAKE Solution Suite for end-to-end carbon calculation and compensation services. SQUAKE enables you to calculate and purchase carbon compensations for your products and services from projects included in our compensation portfolio, via the SQUAKE Dashboard or via theSQUAKE API.  

‍1.    Scope of Service:  

Carbon Calculation Service:
- Calculate carbon emission values for three activity types based on the available calculation frameworks at https://docs.squake.earth
- Dashboard access(showing API calls, invoices, compensation projects, etc.)
- 50,000 segments calculated p.m.
- 3 reports p.m. with one activity type per report

‍Carbon Compensation Service:
- TÜV-certified carbon compensation according to the TN-CC 020 standard 

‍2.    Transfer of data
You will provide us with data on your products/ services necessary for the carbon calculation and compensation needed to perform either the Carbon Calculation Service or CarbonCompensation Service. 

‍3.    Remuneration
‍Client’s operational fee to access the Scope of Service is €50 per month excl. VAT. Operational fees are billed annually for 12 months upfront. This subscription is subject to automatic renewal, you agree that SQUAKE may submit periodic charges without further authorization from you until you provide notice that you wish to terminate this subscription. You agree that such notice will not affect charges submitted before SQUAKE could reasonably act. Carbon compensation project prices already include all administrative charges plus applicable VAT. 

‍4.     Unpaid charges
‍If any fee is not paid in a timely manner, or your transaction cannot be processed, we reserve the right to suspend, disable, cancel or terminate your access to the product or services or cancel your subscription. If your credit card expires or your payment method is otherwise invalid, we do not automatically terminate your account and you will remain responsible for all charges and uncollected amounts incurred until you cancel pursuant to Section 5 or we, in our sole discretion, decide to terminate your account. In addition, we reserve the right to collect from you all costs we incur in connection with the collection of unpaid amounts, including court costs, attorneys' fees, collection agency fees and any other associated costs.  

‍5.    Term and termination
‍The minimum term of this subscription is one year from signing. This subscription can be terminated by either party with three months’ written notice but not earlier than effective upon lapse of the minimum term stated above. Absent such minimum term, Sec. 14.1 of the General Terms and Conditions (Client GTC) shall apply.The subscription is automatically renewed for another term at the end of each term unless it is terminated effectively before. 

‍6.    Miscellaneous
‍Any waiver or variation of any term of this subscription will be effective only when confirmed in writing by the parties. This shall also apply to any waiver or variation of this clause. By conducting the annual payment for the SQUAKE Solution Suite you accept the recurring billing subscription and the terms of our offer above including our Client GTC and privacy policy.
